L’obligation de loyauté en droit privé québécois : son émergence, les obstacles à sa reconnaissance et ses manifestations en droit posé

This summer, the Paul-André Crépeau Centre for Private and Comparative Law is presenting its second series of Summer Seminars in which the whole McGill Law community is invited to take part. The main purpose of this series is to offer a forum to younger scholars to present their ideas and to engage with those of others in an informal setting.

This Summer Seminar will be given by Caroline Le Breton-Prévost, LLM candidate at McGill Law.

Abstract

(In French only) L’obligation de loyauté, apparue dans le droit commun québécois avec l’avènement du Code civil du Québec (CcQ) en 1994, est un concept encore nébuleux en droit privé québécois. Il est utile, afin d’éclairer ce concept, de retracer ses origines qui témoignent de l’interaction entre le droit civil et la common law au Québec. Le fait que la common law ait joué un rôle dans l’émergence de l’obligation de loyauté en droit québécois en fait une précieuse source d’inspiration dans l’interprétation de ce concept. Il est également nécessaire, afin de comprendre le concept de loyauté, de cerner certains obstacles qui nuisent à sa reconnaissance en droit privé québécois. Finalement, en extrapolant à partir des quatre situations dans lesquelles une obligation de loyauté est explicitement prévue par le CcQ (administration d’une personne morale, administration du bien d’autrui, contrat de travail et mandat), l’on peut tenter d’esquisser les contours d’une théorie générale de la loyauté en droit privé québécois.

Speaker bio

Caroline Le Breton-Prévost received her bachelor's of law from the Université Laval in Quebec in 2010. After completing her training at the École du Barreau and an internship at Tremblay Bois Mignault Lemay avocats, she received her J.D. in North American Common Law from the Université de Montréal. She is currently finishing her LL.M. in Comparative Law at McGill University. She is interested in the areas of comparative and private law.
